ECR Minerals PLC is pleased to announce that it has entered into an exclusivity agreement with Maximus Minerals, a private UK exploration company with a portfolio of high-potential gold and base metal assets in Ontario, Canada. The transaction, which represents a significant premium to ECR’s current share price of 0.24p will be issued at 0.33p or the last issue price from Nov 2024, this structure ensures strong alignment between existing and new shareholders. A lock-in will be in place for new shares issued as part of the deal, preventing sales unless the share price trades at approx 100% premium to today’s market price or 0.50p, at which point an orderly market agreement will govern any potential sales.
This Acquisition represents a major step forward for ECR Minerals, strengthening its asset base and positioning the company for future growth. The board of ECR believes the addition of Maximus Minerals’ high-quality projects will significantly enhance shareholder value, providing exposure to advanced-stage gold projects with strong potential for resource expansion.

ECR’s last issue price was 0.33p, and the new shares issued to Maximus Minerals shareholders will be locked in until they trade at approx 100% premium to today’s price. To further support stability in the market, once the 100% premium threshold is reached, any share sales will be conducted under an orderly market agreement, ensuring liquidity is managed carefully without unnecessary downward pressure on the stock price.

The Cat Key Gold Project, located in Mine Centre, Ontario, spans 22.76 km² and is strategically positioned 120km east of New Gold’s Rainy River Gold Mine. The project benefits from excellent all year round road and rail access, with 18,000m of historic drilling completed and strong indications that the property could host a +1Moz gold resource.

-High-grade drill intercepts such as 525 g/t over 0.5m, 5.15 g/t Au over 10.5m and 2.39 g/t Au over 19.44m.
-Multiple gold-bearing zones identified at surface, with significant upside at depth and along strike.
-Drill-ready and permitted for exploration through July 2025.
-ECR Minerals intends to expand the known mineralisation through step-out drilling and deeper exploration, aiming to define a robust resource at Cat Key.

Bush Rat Zone – A High-Potential Gold Discovery

Within the Cat Key Project, the Bush Rat Zone has shown significant promise. This gold-bearing system is characterised by strong silica-ankerite alteration and multiple gold intercepts, including:
Despite only being drilled to 125m depth, the Bush Rat Zone remains open and could host a much larger gold system. Maximus was already planning a 200m deep drill program to further delineate this zone, and ECR Minerals will now be able to accelerate this work with its expanded technical team over the next 12-18months.

Cavern Lake Zinc Project – High-Grade Zinc with Past Production

Cavern Lake is a past-producing zinc mine with a strong exploration history. Historical reports suggest the potential for a 10Mt zinc-rich ore body, positioning it as a valuable asset in the growing base metals sector. A comprehensive exploration program was completed in May 2024, with assay results pending. Key highlights include:
-Historic sampling confirming 35.4% Zn and 12.6% Pb in hand grab samples.
-Strong potential for copper, zinc, and silver mineralization.
-Excellent infrastructure and road access, reducing exploration costs.

Chapman Copper Project – A Copper-Rich Mineralized Fault Zone

The Chapman Copper Project covers 31.4 km² and sits along a major mineralized fault line. With five known copper showings, historical drill results include: 5.8m at 1.0% Cu and 17.3m at 0.54% Cu.

Silver Lake is an underexplored, high-grade polymetallic property that has returned impressive sample results, including:
-8.4 g/t Au, 41.7 g/t Ag, 9.5% Zn, and 2.6% Pb.
-Strong structural setting within a metal-rich greenstone belt.
-Planned low cost aeromagnetic surveys and exploration are next steps.
